Odin for SPVs and private funds
Odin serves UK and cross-border SPV, fund, and founder-rollup use cases. Its product lanes share an interface, but the legal ownership, regulated roles, and pricing differ materially.

You are an emerging manager launching an SPV or private fund from the UK or Europe

Where Odin fits
Odin publishes SPV, fund, and founder-rollup products for managers and companies operating across the United Kingdom, United States, Luxembourg, Singapore, and offshore contexts. Its public materials emphasize legal structuring, investor onboarding, payments, administration, tax reporting, and ongoing fund operations.
That international positioning makes Odin relevant to emerging managers with investors or deals across borders. It also means the exact legal form and service stack matter. Odin's UK nominee or trust-based arrangements, Delaware vehicles, and fund structures should not be treated as interchangeable.
Product lanes
Odin's main site separates SPV, fund, and founder-rollup use cases. Its help materials describe investor and deal-lead workflows for syndicated investments, primary and secondary deals, payment reconciliation, rolling closes, and transfers. Confirm which materials apply to the proposed product and jurisdiction.
A founder rollup solves a company cap-table problem. A manager-led syndicate pools investors for a deal. A committed fund holds a portfolio under a different set of terms. Ask Odin to diagram the vehicle, nominee or trustee if relevant, manager, platform operator, custodian or bank, administrator, counsel, tax provider, and other parties.
Pricing claims need product context
As reviewed on September 5, 2026, Odin's help center publishes:
| Published item | Stated price |
|---|---|
| Founder Rollup SPV | £4,000 including VAT |
| Rolling close | £2,500 |
| Secondary transfer | £1,000 per investor or a 2% minimum |
Those figures apply to the stated product and event. They should not be generalized across every Odin syndicate SPV or fund.
Request a quote for the exact country, product, target raise, investor count, currencies, closings, asset, holding period, tax work, and expected events. Separate provider fees, VAT where relevant, government charges, legal work, banking or custody, tax, investor charges, transaction fees, and wind-down.
For a cross-border fund, request a multi-year budget by entity. A headline setup fee says little about AIFM, general-partner, administration, depositary, audit, tax, directors, reporting, or liquidation costs where those roles apply.
Authority and asset ownership
Odin's help materials refer to the platform operator and nominee entities in parts of its SPV workflow. Ask which entity holds legal title to the underlying asset, who holds beneficial interests, who exercises votes and information rights, and how the deal lead's authority is documented.
For each product, confirm the legal investor register and primary ownership evidence. Preserve the executed investment agreement, syndicate or governing terms, subscriptions, bank evidence, asset record, issuer confirmation, and investor ledger outside the interface.
If a nominee, trustee, affiliated manager, or platform entity is central to the arrangement, migration may require legal and governance work. Ask how replacement or corporate failure would affect title, authority, communications, and distributions.
Investor and payment operations
Odin's help center describes digital verification, commitment tracking, bank instructions, payment references, and deal closing. Test who approves investor admission, verifies changed bank instructions, reconciles received funds, and authorizes the final investment payment.
Odin advises investors to use the current payment instructions for each deal rather than saved bank details. The manager should still understand the underlying account owner, safeguarding or custody model where relevant, reconciliation, returned-payment process, and approval evidence.
For multi-currency or international investors, ask about supported currencies, conversion, fees, source-of-funds requests, refunds, tax forms, and reporting. Confirm how late or mismatched wires affect the close.
Post-close scope and exceptions
Ask for the annual operating calendar by product: bookkeeping, bank reconciliation, investor register, capital accounts, reporting, tax, filings, valuations, issuer notices, votes, follow-ons, transfers, distributions, and dissolution. Identify which work is included for the life of the SPV and which events have additional charges.
Odin's help materials describe rolling closes and secondary transfers. Request the legal, accounting, tax, issuer-consent, KYC, and price steps behind those workflows. A feature label is not the full process.
For funds, use the fund operations guide to map work across the manager, general partner, fund, providers, and jurisdictions.
Data and continuity
Request exports for signed documents, investor data, legal register, commitments, contributions, distributions, capital accounts, general ledger, bank records, tax filings, valuations, and asset evidence. Ask which exports are self-service, which require support, and how long access continues after termination.
Read transition terms for platform, administration, nominee, manager, custody, and tax roles. Ask for a worked example of migrating an SPV or fund. Confirm final fees and who validates opening records at the replacement.
Best fit and tradeoffs
Odin is most plausible for UK and European managers who need SPV or fund infrastructure with cross-border ambitions and value an integrated investor and payments workflow. Its founder-rollup product is a distinct option for companies aggregating many angel investors.
The main tradeoff is structural complexity across product lanes and jurisdictions. The manager must understand the nominee, manager, custody, administration, and legal entities behind the interface. Current help-center prices may apply only to specific products.
