Operator authorization, promotion rules, entity choices, and investor eligibility shape the route.

The practical answer

A UK private investment structure must be analyzed through the manager or operator activity, collective-investment-scheme position, financial-promotion route, investor population, legal vehicle, tax, and administration. Forming a limited partnership or company does not itself authorize the operator or permit the investment to be promoted.

Start with the activity, not the company type

A UK private investment structure must be analyzed through the manager or operator activity, collective-investment-scheme position, financial-promotion route, investor population, legal vehicle, tax, and administration. Forming a limited partnership or company does not itself authorize the operator or permit the investment to be promoted.

The correct route depends on what participants contribute, who controls the assets, how profits are pooled, and what discretion the operator exercises.

Separate the perimeter questions

QuestionWhy it matters
Is this a collective investment scheme or alternative investment fund?Shapes operator and fund requirements
Who performs regulated activities?Determines authorization or exemption analysis
Who will receive the promotion?Determines whether and how it may be communicated
Is the vehicle intended for retail or professional investors?Changes available fund and promotion routes
Which legal form is used?Defines governance, liability, filings, and tax work

The FCA says financial promotions must be fair, clear, and not misleading. Additional restrictions apply to unregulated schemes and non-mass-market investments. Do not treat a high-net-worth or sophisticated-investor statement as a universal permission. Counsel should test the current exemption, recipient, content, and process.

Understand the vehicle choices

UK limited partnerships contain at least one general partner and one limited partner. Companies House guidance explains that limited partners in an ordinary limited partnership can risk liability if they participate in management, while the private fund limited partnership regime modifies several restrictions for eligible collective investment schemes.

An English limited partnership does not have the same legal personality as a Scottish limited partnership. Companies, nominee or trust arrangements, and overseas vehicles create different ownership and tax results. Choose the form only after the operating and investor facts are known.

Budget the parties around the vehicle

A private fund can require a general partner, manager or operator, administrator, bank or payment provider, counsel, tax adviser, auditor, registered-office or partnership support, and other regulated or appointed parties depending on the structure. Ask which party is legally responsible and which work is subcontracted.

Companies House currently states a £124 registration fee for a limited partnership, but the registry fee is a small part of total cost. Model formation, authorization or host arrangements, documents, administration, tax, audit, banking, investor count, changes, and dissolution.

Keep tax schemes separate from fund structure

SEIS and EIS are tax-advantaged venture-capital schemes, not entity types or general fundraising permissions. Eligibility depends on the company, trade, age, assets, employees, shares, investors, use of funds, timing, and continued compliance. Advance assurance is not a guarantee of relief.

From April 6, 2026, EIS and VCT annual and lifetime company investment limits increased for many companies, with different treatment for specified and knowledge-intensive companies. Use current HMRC guidance for the actual issue date. The SEIS and EIS guide covers the workflow.

Build the investor and cash record

Define KYC, sanctions, source-of-funds, tax, subscription, acceptance, cash, register, and asset-funding steps. Identify the legal holder if a nominee or trustee is used and explain the beneficial interest, voting, information, transfer, distribution, and failure arrangements.

Preserve executed documents, investor records, bank evidence, asset confirmation, books, tax and registry filings, valuations, notices, and approvals independently of the platform.

Questions before choosing the UK

  • What activity will the sponsor perform, and through which legal entity?
  • Is the arrangement a collective investment scheme or alternative investment fund?
  • Who may receive each financial promotion, under which route?
  • Which manager, operator, host, or other authorized party is required?
  • Does an LP, PFLP, company, nominee, or overseas vehicle fit the ownership model?
  • How are VAT, partnership tax, investor reporting, and cross-border investors handled?
  • Which records and legal roles can move if a provider changes?

The UK can support many private-market models, but the entity, regulatory perimeter, promotion, and tax analyses must agree before the site invites investors. Use the provider directory only after those requirements are written down, then compare candidates through the provider framework.
